1. Agreement to Terms

By accessing or using Pipeline Bee's website, services, or consulting offerings (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

Pipeline Bee ("we," "us," or "our") provides strategic consulting, sales enablement, AI advisory, go-to-market strategy, and content development services to startups and political campaigns.

2. Use of Services

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account and Access

You may be required to create an account to access certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

2.3 Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Infringe upon the intellectual property rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to any part of the Services
  • Harass, abuse, or harm another person or entity
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers

3. Consulting Services

3.1 Service Agreements

Specific consulting services will be provided under separate written agreements ("Service Agreements"). These Terms supplement, but do not replace, any Service Agreements between you and Pipeline Bee.

3.2 Professional Services

Our consulting services are provided on a professional basis with reasonable care and skill. However, we do not guarantee specific results, outcomes, or success metrics. Results may vary based on numerous factors beyond our control, including but not limited to market conditions, client implementation, and external circumstances.

3.3 Client Responsibilities

You agree to provide timely access to information, personnel, and resources necessary for us to perform our Services. You are responsible for implementing our recommendations and for the ultimate decisions made regarding your business or campaign.

4. Payment Terms

4.1 Fees

Fees for Services will be outlined in your Service Agreement. All fees are in U.S. dollars unless otherwise specified. You agree to pay all fees as described in your Service Agreement.

4.2 Payment Terms

Payment is due according to the terms specified in your Service Agreement. Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.

4.3 Refunds

Refund policies will be specified in your Service Agreement. Generally, fees paid for services already rendered are non-refundable.

5. Intellectual Property

5.1 Our Intellectual Property

All content, materials, methodologies, frameworks, and intellectual property provided by Pipeline Bee remain our exclusive property unless otherwise specified in a Service Agreement. This includes but is not limited to text, graphics, logos, trademarks, software, and proprietary methodologies.

5.2 Client Intellectual Property

You retain all rights to your pre-existing intellectual property. Work product specifically created for you under a Service Agreement will be addressed in that agreement.

5.3 License

Subject to your compliance with these Terms and any applicable Service Agreement, we grant you a limited, non-exclusive, non-transferable license to access and use deliverables provided under your Service Agreement solely for your internal business purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation survives termination of the Services. Confidential information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) is rightfully received from a third party without breach of confidentiality; or (c) is independently developed.

7. Disclaimers

7.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Results

We do not guarantee that our Services will result in any particular business outcome, revenue increase, successful campaign, or other specific result. Success depends on many factors beyond our control.

7.3 Third-Party Tools

We may recommend or integrate third-party tools, including AI platforms. We are not responsible for the performance, accuracy, or availability of third-party services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPELINE BEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO PIPELINE BEE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pipeline Bee, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your implementation of our recommendations.

10. Termination

10.1 Termination by Either Party

Either party may terminate a Service Agreement according to the terms specified therein. We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, for any breach of these Terms.

10.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to confidentiality obligations, intellectual property rights, disclaimers, and limitations of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Pipeline Bee is registered, without regard to conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in a mutually agreed location. Each party shall bear its own costs and attorneys' fees unless otherwise awarded by the arbitrator.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Pipeline Bee individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General Provisions

12.1 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

12.3 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between you and Pipeline Bee regarding the Services and supersede all prior agreements and understandings.

12.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

12.5 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
